Appsbd Software License Agreement
For Appsbd Software Products, Plugins, Add-ons and Extensions
This Software License Agreement (“Agreement”) is provided by Appsbd (“Appsbd”, “we”, “us”, or “our”) and sets forth the terms and conditions governing the use of software products, plugins, add-ons, extensions, applications, and related software provided by Appsbd.
By purchasing, downloading, installing, activating, or using any Appsbd product, the customer or end user (“Customer”, “you”, or “your”) agrees to be bound by the terms of this Agreement.
1. License Grant
Subject to payment of the applicable fees and compliance with this Agreement, Appsbd grants Customer a limited, non-exclusive, non-transferable, and non-sublicensable license to use the applicable software.
The license is subject to:
- The license type purchased;
- The permitted number of sites, installations, users, or domains;
- The applicable license term; and
- Any additional terms presented at the time of purchase.
This license does not transfer ownership of the software, source code, intellectual property, trademarks, or other proprietary rights to Customer.
2. License Types and Terms
2.1 Annual / Yearly License
- An annual or yearly license is normally valid for 12 months from purchase or activation unless a different term is expressly stated at the time of purchase.
- Pro or other paid functionality is available during the active license term.
- Renewal is required to continue license-controlled Pro or paid functionality after the license term ends.
- If the license is not renewed, Appsbd may disable or restrict license-controlled Pro or paid functionality.
- Installing the software does not by itself grant a continuing right to use license-controlled functionality after expiration.
- Expiration of a license does not, by itself, automatically delete Customer’s business data.
2.2 Lifetime License
- If a Lifetime license is explicitly offered and purchased, it is not subject to annual expiration.
- The specific scope of a Lifetime license depends on the purchase terms applicable to that product.
- “Lifetime” does not necessarily mean that every future feature, third-party service, integration, platform, or technology will be supported forever.
- Appsbd may have separate terms relating to updates, support, third-party services, or newly introduced products and services.
3. Renewal and Recurring Billing
- Annual subscriptions may automatically renew according to the billing terms presented during checkout.
- Customer may cancel a recurring subscription before the next renewal through the applicable payment provider where cancellation is supported.
- Renewal price, renewal date, taxes, discounts, and payment terms are determined by the applicable checkout and payment provider terms.
- A failed, cancelled, or otherwise uncompleted renewal may result in expiration of the license at the end of the paid term.
4. License Expiration and Post-Expiration Behavior
When a time-limited license expires without renewal or extension, Customer’s authorization to use license-controlled functionality ends.
After expiration, depending on the applicable product and its technical design:
- Pro or other paid features may stop functioning or become restricted.
- License-dependent runtime components may become inactive.
- License activation or verification may fail.
- Premium or license-dependent support may end.
- License-dependent updates may no longer be available.
- Free/Lite functionality requires Customer to deactivate the Pro Plugin.
- If the Pro Plugin is installed and active, Free/Lite functionality cannot be used.
- Stored data is not automatically transferred to Appsbd solely because a license has expired.
- Renewal or reactivation may restore license-controlled functionality, subject to applicable technical conditions.
Some existing data may remain visible after expiration while new license-controlled actions are unavailable. For example, in a rewards product, previously stored reward information may remain visible or printable, while redemption, new accrual, or other license-controlled administrative actions may be unavailable.
4.1 Free/Lite and Pro Version Usage
For products that have both Free/Lite and Pro versions, the functionality of those versions may be technically interrelated.
- Free/Lite Version + Pro Plugin Deactivated: Free/Lite functionality can be used.
- Pro Version + Valid and Active License: Pro functionality can be used.
- Pro Version + No Valid License Key: Pro functionality cannot be used, and Free/Lite functionality cannot be used while the Pro Plugin remains active.
- Pro Version + Expired License: Pro functionality cannot be used, and Free/Lite functionality cannot be used while the Pro Plugin remains active.
- Pro License Renewed and Activated: Pro functionality may be used again, subject to successful activation and applicable technical conditions.
- To use Free/Lite functionality, the Pro Plugin must be deactivated.
Installation of a Pro Plugin alone does not establish a valid license and does not create a right to use Free/Lite functionality while the Pro Plugin remains active.
4.2 Pro Plugin Installation and License Activation
- An installed Pro Plugin without a valid and active license key cannot be used for its license-controlled Pro functionality.
- Installation alone is not a valid license.
- Pro Plugin Installed ≠ Valid Pro License.
- If a Pro license expires and Customer wants to use the Free/Lite version, the Pro Plugin must be deactivated.
5. Product Activation and License Verification
Appsbd products may use license keys, activation records, online verification, API requests, or other mechanisms to verify license validity and status.
Customer authorizes reasonable activation and verification checks necessary to provide licensed functionality, prevent unauthorized use, enforce license limits, and maintain software security.
Appsbd may change, improve, or replace its technical license verification and activation mechanisms where reasonably necessary for licensing, security, or product operation.
6. License Limits
- Customer must comply with the site, installation, user, domain, or other limits applicable to the purchased license.
- A license limited to one site may not be used on additional sites unless expressly permitted or an additional license is purchased.
- Appsbd may deactivate or restrict excess activations or license usage that violates the applicable license terms.
7. Ownership and Intellectual Property
Appsbd and its licensors retain all rights, title, and interest in and to the software, source code, compiled code, documentation, trademarks, branding, designs, and related intellectual property.
Third-party materials included with or used by Appsbd products may be subject to their respective third-party licenses and terms.
The license granted under this Agreement is a license to use the software and is not a transfer of ownership.
8. Prohibited Uses
Unless expressly permitted by applicable law or Appsbd in writing, Customer may not:
- Reverse engineer, decompile, or disassemble the software;
- Attempt to extract or reconstruct source code;
- Bypass, disable, remove, or circumvent license activation or verification mechanisms;
- Modify the software or create derivative versions of the software;
- Redistribute, sublicense, lease, rent, or resell the software or license keys;
- Use the software beyond the purchased license limits;
- Remove proprietary, copyright, or other ownership notices; or
- Use the software in violation of applicable law or the applicable product terms.
Nothing in this Agreement is intended to restrict mandatory rights granted by applicable law or applicable open-source licenses.
9. Updates
- During an active license term, Appsbd may provide updates, bug fixes, improvements, security updates, or new versions where included with the applicable product or license.
- Availability of updates may depend on the product, license type, compatibility requirements, or third-party services and technologies.
10. Support
- Premium or priority support is provided only where included with the applicable product or license.
- Support availability may vary by product, license type, and purchase terms.
- An expired license may result in the end of premium or license-dependent support.
11. Customer Data
- Customer retains ownership of data submitted to or generated through the software, subject to the limited rights necessary for Appsbd to provide applicable software or services.
- Customer is responsible for maintaining appropriate backups of its website, database, customer records, orders, reward balances, and other business data.
- Expiration of a software license does not, by itself, transfer Customer’s business data to Appsbd or authorize unrelated use of such data.
12. Third-Party Services and Integrations
Appsbd products may integrate with WordPress, WooCommerce, payment providers, email services, hosting providers, APIs, or other third-party services.
- Third-party services may be governed by their own terms, policies, pricing, and availability.
- Appsbd cannot guarantee uninterrupted availability or compatibility of third-party services that are outside Appsbd’s reasonable control.
13. Warranty Disclaimer
To the maximum extent permitted by applicable law, the software is provided on an “as is” and “as available” basis.
Appsbd does not guarantee that the software will be uninterrupted, error-free, or compatible with every third-party environment, plugin, theme, server configuration, hosting environment, or future platform version.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Appsbd shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, or data arising from or related to the use of, inability to use, or termination or expiration of the software or license.
Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited under applicable law.
15. Suspension and Termination
Appsbd may suspend or terminate a license where Customer materially breaches this Agreement, engages in unauthorized use, bypasses license controls, or violates applicable license scope or restrictions.
Upon termination or expiration, Customer must stop using license-controlled functionality until a valid license is restored or otherwise authorized.
16. Changes to This Agreement
- Appsbd may update this Agreement for future purchases, renewals, or continued use where permitted by applicable law.
- Terms presented or incorporated at the time of a transaction may apply to that specific purchase.
- Nothing in this section is intended to retroactively modify a completed transaction where such modification is not permitted by applicable law or requires Customer consent.
17. Refund and Cancellation
Refunds, cancellations, and related rights are subject to the applicable purchase terms, payment provider policies, and any rights available under applicable law.
18. Entire Agreement
This Agreement, together with applicable product terms, pricing and checkout terms, order details, and any expressly incorporated third-party terms, constitutes the agreement governing Customer’s use of the applicable Appsbd software, subject to mandatory rights under applicable law.
